Trick or Treat: Spirit Halloween’s parent company to buy Hot Topic

CITY OF INDUSTRY, Calif. — Spirit has signed a definitive agreement with Sycamore Partners to buy retail brand Hot Topic.

On August 6, Spencer Spirit Holding, Inc., parent company of Spencer's and Spirit announced they have agreed with Sycamore Partners, a private equity firm, to purchase Hot Topic, Inc.

Financial terms of the deal were not disclosed. The deal is expected to close in the third quarter of 2026.

When the sale is complete Spencer Spirit Holdings, Inc. will own:

  • Spirit Halloween, an American seasonal retailer that sells Halloween products.
  • Spencer's, a retailer specializing in novelty and gag gifts, clothing, collectible figures, and body jewelry.
  • Spirit Christmas, Introduced in 2024 and offers Christmas related products.
  • Hot Topic, an American fashion company specializing in counterculture-related clothing, accessories, and licensed music.
  • Box Lunch, a specialty retailer offering an elevated collection of licensed pop-culture apparel, accessories, and collectibles.
  • Her Universe, a lifestyle fashion brand focused on creating quality, fandom-centric apparel and accessories.

The companies say the combination is intended to strengthen purchasing, vendor and licensing relationships and create opportunities to expand the retail footprint.

That could eventually affect product selection, promotions, store locations, licensing deals or loyalty programs, but those changes have not been announced.

What Now: How the Spencer Spirit & Hot Topic Merger Impacts You

There is no word that your favorite stores are closing: Hot Topic, BoxLunch, and Her Universe will continue operating independently. Steve Vranes will remain CEO of Hot Topic, Inc., reporting to Spencer Spirit CEO Steven Silverstein.

The deal combines six distinct retail concepts under one parent umbrella, creating a network of over 3,000 stores across North America. Expect potential cross-promotions, stronger inventory stocking, and better licensing access for popular fandoms.

No immediate changes to rewards or gift cards: Loyalty programs like BoxLunch Points or Hot Topic Rewards should function normally as operations remain separate for the foreseeable future.

The real story will unfold after the deal closes, when we can see whether the new ownership affects prices, products, stores, rewards programs or the overall customer experience. For now, keep shopping as usual.
